The company signed a definitive collaborative research and development agreement with Solarvest that will conduct research using its algal expression technology to develop pharmaceutical-grade cannabinoids. Quantum Biopharma and Solarvest have made investments into one another and Quantum Biopharma has the option to enter into an exclusive license arrangement over a subset of the project and receive royalty rights over all of the products that result from the project. Upon a successful proof of concept, the companies intend to enter into a license agreement under which Solarvest will grant Quantum Biopharma an exclusive, worldwide license over any use of prescription drugs that can treat diseases affecting the central nervous system. In consideration for the license, Quantum Biopharma will be required to pay Solarvest a royalty equal to 5% of the net profits from the sale of such products as well as reimburse Solarvest for the cost of production. In addition to the licensing arrangement, Solarvest will pay a royalty fee to Quantum Biopharma on the sale or licensing of any products that result from the project, other than the Quantum Biopharma licensed indications, equal to 5% of the net sales or net license fees. Once Solarvest has paid an aggregate of $3,000,000 in royalty fees, the royalty percentage will be reduced to 3%.
The company entered into a definitive collaboration and licensing agreement with World Class Extractions where Quantum Biopharma will provide World Class with up to 5,000 sq ft of space at its 620,000 sq ft facility in Cobourg, Ontario, assist it in obtaining an extraction license from Health Canada and provide World Class with the raw cannabis needed to produce cannabis extracts for which the company will provide World Class with substantial assistance in producing the World Class products. World Class will in turn provide Quantum Biopharma with certain royalty rights over the profits derived from the sale of those cannabis extracts. World Class will build and install, at its expense, its own manufacturing facility within the larger Quantum Biopharma Facility, at which it intends to extract and process CBD-enriched oil and other extracts. During the period prior to World Class obtaining the license, the parties will produce the World Class products under a license that Quantum Biopharma intends to obtain. Quantum Biopharma will provide World Class with all of the raw cannabis needed to produce the World Class Products, both before and after World Class obtains the license. All considerations to Quantum Biopharma will be paid in the form of a tolling fee structure whereby World Class will retain 7% of the value of all World Class products produced at the World Class premises, which will be payable in cash or World Class Products, in accordance with World Class’ wishes.
The company entered into a 5-year supply and loan agreement with Canntab Therapeutics and World Class Extractions to purchase organic hemp flower from Thomas Elcome together. Thomas grants Canntab and WCE the right and option to purchase up to 1,000 KG or 5 million CAD of his hemp crop at a purchase price of 100 CAD per KG per 1% of CBD extracted from the flower. The agreement provides that the company shall develop the licensed products with a view to submitting an investigational animal drug application with the FDA within 36 months of the date of the agreement and shall submit a new animal drug application within 60 months of the effective date of the agreement. The company will pay Innovet upon the achievement of specified milestones starting with an initial non-refundable sum of 500,000 USD on the effective date of the licensing agreement and a 2nd non-refundable 250,000 USD on the 1st anniversary of the effective date of the licensing agreement as well as a non-refundable 750,000 USD fee 30 business days after the approval of a new animal drug application by the FDA of the first licensed product to receive approval in the US. The company is required to pay Innovet 14% of any one-off lump sum payments it receives as consideration for granting a sub-license to a 3rd-party with respect to a licensed product and is required to pay 5% of the net sales of the licensed products.
