2019

The company entered into a distribution agreement with Sigma for the distribution of Peace Naturals through Sigma’s retail pharmacy network in Australia, with the anticipation of involving future products and brands developed by Vitura.

The company partnered with A&S Branding, established by the co-founders of Sukin Organic Skincare for the creation of a 50/50 JV and the development of CBD products intended for Australia and New Zealand. The partnership gives the JV a 2-year exclusive period for the development of CBD products between the companies as well as sales and distribution of said products.

2020

The company launched a personal care consumer brand by the name of Bathing Shed which is a premium hemp seed oil range for sales to North Asian personal care consumer markets and Australia. The company will initially sell products at its website and through select retailers in Japan, Hong Kong and Australia with a portion of revenue to be donated to Clean Up Australia.

The company launched the Adaya range of medicinal cannabis oils to the Australian market with prescriptions available through medical practitioners via the Special Access Scheme, authorized prescribers or clinical trials.

The company acquired a 51% ownership in Cannadoc Health which operates a Melbourne-based medical clinic business. Though the deal, the company was allowed to appoint 2 representatives to the Cannadoc board.

2021

Cronos Australia and CDA Health merged.

The company launched a gel cleanser called Clean Hands Number 1 and a gel moisturizer called Soft Hands Number 1 to be sold in Australia and key Asian markets, including Japan and Hong Kong.

The company launched a CBD brand called Saiph with a CBD cleanser and a CBD moisturizer in Japan and Hong Kong where products will be sold through retailers and via e-commerce channels.

The company launched its FCTR brand with initial sales in Hong Kong and Japan. FCTR is the company’s performance brand and is designed to be a recovery partner for athletes with the first 2 products being a warm and a cool gel with CBD. The company went into a sales agency agreement with SS Outdoor, a Sure Step company for the advancement of its distribution.

The company sold its interest in Zalm Therapeutics to Rua Bioscience with the master supply agreement staying intact with Zalm.

2022

The company secured Victorian licenses for the supply of Schedule 2, 3, 4 and 8 products to pharmacies from its Melbourne distribution center using its CanView platform.

2023

The company acquired Doctors on Demand, a telehealth business.

The company announced that its clinic on the Gold Coast will close down and the Brisbane and the Sunshine Coast clinics will be transitioned into 100% telehealth services.

The company formed a 50/50 JV with Pharmala Biotech called Cortexa which aims to be a leading supplier of psilocybin in Australia. The JV will also receive Pharmala’s sale orders of psilocybin and MDMA for sale supply into Australia. Cortexa will be the exclusive license holder for Pharmala’s manufacturing technology and IP assets relating to mdma in Australia, with an anticipation that the same will apply to psilocybin. This allows for the JV to find a partner with a local contract manufacturer to produce mdma and psilocybin in Australia and will see the JV pay. The JV will hold the exclusive rights to purchase both GMP-mdma and GMP-psilocybin from PharmAla for distribution in Australia. A break fee is implemented in the JV where one party will give the other 500,000 AUD if certain breaches of the agreement happen and Vitura will loan Cortexa 2,200,000 AUD at an interest rate equal to the official cash rate +5% per annum if need be. Cortexa will pay a license fee of 250,000 AUD per year for 3 years and a royalty equal to 5% of the profits of the JV.

The company’s Gold Coast and Melbourne distribution centers achieved WHO’s good distribution practices.

The company formed an unincorporated JV with Releaf Group for the creation of an exclusive Releaf-branded version of the CanView platform for use by Releaf’s prescribing doctors, stores and patients. The JV can be terminated with a 1 years prior notice or terminated for cause with 1 business days notice.

Vitura raised questions about the conduct of Code4Cannabis and in turn C4C notified the company that it does not intend to extend the services agreement including the exclusive software licensing of CanView at its expiry date of the 10th of August in 2024 and in turn Vitura exercised its right under the services agreement to enact a 15 month transitional period from the 10th of August in 2024 until the 10th of November in 2025. Under the services agreement, C4C will be prohibited from licensing the software to another 3rd party for 1 further year following the end of the transitional period.

2024

Cortexa became the first company in Australia to supply GMP Psilocybin for therapeutic use by a patient outside of a clinical trial, under the authorized prescriber scheme. This made Cortexa the first Australian company able to manufacture, supply and deliver GMP-MDMA and Psilocybin for clinical trials and

prescriptions via the TGA’s Authorised Prescriber Scheme.

Cortexa entered an exclusive arrangement with Optima Ovest to manufacture LaNeo MDMA and novel derivatives of MDMA for them to be the contracted manufacturer.

The company executed a technology and product supply services agreement with WholeLife Pharmacy where the company will provide the WholeLife Pharmacy & Health Foods’ network with an exclusive, WholeLife-branded version of the CanView platform for use by pharmacies, patients and partner prescribers. This will allow for WholeLife Pharmacy & Healthfoods stores to receive prescriptions from the CanView ecosystem and dispense products through the WholeLife branded CanView platform. Vitura will also distribute WholeLife’s newly branded products sold and distributed via its own-branded CanView platform.

The company added prescription only smoking cessation products to Canview.

2024

After Releaf Group went into receivership and administration, a new company was created by the name of Flora Holdings, of which Vitura Health owns 50% and Crisci Group owns the other 50%. Flora acquired the key assets of Releaf such as its clinics, brand name, logos, website, patient list of over 30,000 people, equipment, inventory, IT systems, goodwill, and other business assets.

In the new JV, Vitura supplies medicinal cannabis products via Canview, provides distribution pathways for prescriptions written by Releaf doctors, helps manage the medical direction of the clinics, and has favourable rights to supply medication to Releaf patients when stock exists on Canview. Crisci Group, in turn, runs pharmacy and dispensing operations, manages patient counselling, and owns four Releaf franchises.

2025

Flora entered into a binding agreement to acquire the key operating assets of Heyday Medical Clinic, which was named Australia’s Best Medicinal Cannabis Clinic in 2024. Assets acquired include customer databases and patient data, IP and brand assets with a licence to use “Heyday” and “Heyday Medical,” front-end and back-end website infrastructure, social media accounts and digital assets, clinical and operational documents including patient education materials, access to patient management, booking and CRM systems, rights under selected contracts, and the goodwill of the business.

The company acquired the Canview platform.

The company acquired Candor Medical.

Flora acquired Ananda clinics from Australian Natural Therapeutics Group.
